Job Overview

We are currently seeking a Commercial Law Manager specializing in the China/Canada markets. As our Commercial Law Manager, you will be leading our operations with China-Canada investment projects and guiding our Canadian clients on foreign investment procedures in China and assisting Chinese clients on foreign investment procedures in Canada.

Key Responsibilities:

• Oversee and manage the operations of the China/Canada division, with a particular emphasis on commercial practices, including commercial legal transactions in China and foreign investments between China and Canada.
• Maintain seamless communication and business relationships between the corporation and external relevant parties.
• Ensure that the corporation provides diligence, insight, and professionalism in serving its clients.
• Proactively develop the corporate strategy, detailed plans, policies and procedures, and identify opportunities for improvement for its China/Canada operations under the supervision of the firm.
• Advice, anticipate and evaluate the delivery of legal services and solutions regarding the multi-collaborative, international investment projects, commercial and real estate matters for Chinese clients entering the Canadian market and vice versa, in areas of compliance, financial, regulatory and contractual legal issues.
• Direct and ensure an ongoing process of improvement and implementing a comprehensive assessment strategy.
• Control and implement the budget plan in categories within the division.
• Represent the corporation in its relationships with local government, organizations from both private and public sector in Canada and China, and including liaising with third party professionals as necessary in areas of foreign investment, global asset management and private equity companies, various financial institutions, and accountants, auditors and other legal professionals.
• Support the executive management and internal clients in identifying legal, regulatory and compliance requirements in China.
• Develop and implement appropriate mitigation strategies regarding risks associated with foreign exchange, due diligence, mergers and acquisitions and joint ventures.
• Recruit, coaching and mentoring to new and existing staff in the China/Canada division.

Ideal Candidates Will Possess the Following Experience and Qualifications:

• Master’s degree in Law or related professional discipline.
• Authorized to practice law in China, with a solid understanding and interpretation of current legal terminology.
• 3+ years of management experience as a legal counsel for investment-related clients and projects, including private and publicly-listed corporations and state-owned enterprises.
• Thorough knowledge and understanding of laws and regulations governing Chinese foreign investment and planning in public/private markets.
• Outstanding written and verbal communication skills in Mandarin, able to clearly explain highly complex concepts to different groups.
• Willing to travel occasionally to China.
• Law firm and in-house corporate legal counsel experience preferred.
• Strong organizational and time management skills.
• Strong computer skills, including thorough knowledge of Microsoft Office and Adobe.
• Willing to work overtime when required.

Job Type: Permanent, Full-time
Salary: $82,000 per annum
Work Schedule:35 hours per week for 52 weeks per year
